United Bagholding Corporation Reaffirms Its Intention to Continue Holding
WILMINGTON, Del. — August 10, 2026 — United Bagholding Corporation
(RHC: BAGS) today reaffirmed its intention to continue holding.
The reaffirmation is consistent with the Corporation’s practice of reaffirming the same
intention at regular intervals. It supersedes no prior statement, no prior statement of the
Corporation having been superseded at any point in its history.
“The Corporation continues to hold,” the Corporation said. “The Corporation has
held. The Corporation will hold.”
Management confirmed that no bags were released during the period, that no bags are scheduled for
release in any subsequent period, and that the Corporation maintains no procedure by which a bag
could be released should such a release ever be contemplated. Development of such a procedure does
not appear on the Corporation’s roadmap. The Corporation does not maintain a roadmap.
The Corporation makes no statement concerning price, in this release or in any other.

United Bagholding Corporation Announces Forthcoming Offering by Digital Bag Assets Division
WILMINGTON, Del. — August 6, 2026 — United Bagholding Corporation
today announced that its Digital Bag Assets division will conduct a public offering of
$BAGS on Robinhood Chain, and that the Corporation’s registration statement on
Form S-1 (Parody) will be published in the same hour the offering commences.
The Form S-1 (Parody) has not been filed with, reviewed by, or acknowledged by any regulatory
agency, and it never will be. It bears no seal, because no seal exists.
The Corporation selected Robinhood Chain as the venue for the offering following a review of
available markets. In management’s assessment, the participants of that venue demonstrate
exceptional natural aptitude for the Corporation’s core activity.
The offering will be conducted without underwriters. Underwriters asked questions.
Proceeds attributable to the Corporation will be applied in the following order of priority: (1)
additional bags. Amounts remaining after item (1), if any, will fund the Corporation’s Capital
Return Program, under which tokens are periodically removed from circulation and announced with the
gravity the occasion deserves. The Corporation does not pay dividends. The Corporation holds.
$BAGS has no intrinsic value. The Corporation discloses this on every public surface it maintains,
with pride.

WILMINGTON, Del. — August 3, 2026 — United Bagholding Corporation
today issued a clarification.
The Corporation wishes to make clear that its position is, and has been, the position it has
stated. Characterizations to the contrary have been reviewed. The Corporation’s position is
unchanged and was not, at any point, unclear.
To the extent ambiguity was perceived, the Corporation attributes the perception to the reader and
considers the ambiguity resolved by the issuance of this clarification.
The Corporation declines to identify the matter clarified, identification of the matter being
likely to reopen it.
No further clarification is planned. Should further clarification become necessary, it will be
issued in this format.

WILMINGTON, Del. — July 29, 2026 — United Bagholding Corporation
today responded to speculation.
The Corporation is aware of the speculation. The Corporation has read the speculation. The
Corporation declines to identify the speculation, to characterize the speculation, or to indicate the
period in which the speculation arose.
The Corporation’s practice is not to comment on speculation. This release does not
constitute a departure from that practice and should not be read as an acknowledgment that
speculation exists, notwithstanding the headline of this release, which was approved.
All bags remain where the Corporation put them. This has been true on every day of the
Corporation’s existence and is not responsive to the speculation, which the Corporation has not

United Bagholding Corporation Establishes Digital Bag Assets Division
WILMINGTON, Del. — July 24, 2026 — United Bagholding Corporation
today announced the establishment of Digital Bag Assets, the Corporation’s fourth division and
its first new division of the modern era.
Digital Bag Assets administers $BAGS (RHC: BAGS), the digital expression of
the Corporation’s holding philosophy, issued on Robinhood Chain. The division extends the
Corporation’s oldest service — the bag, held — into its most modern format.
The division employs no staff and requires none. Its offices are the same offices. Its filing
cabinet is the same filing cabinet and remains empty for the same reason.
In connection with the establishment, the Corporation evaluated whether a digital bag is a bag.
The evaluation concluded that the question is not material to the Corporation’s operations,
which consist of holding, and that holding is indifferent to substrate.

United Bagholding Corporation Completes Reorganization of Investor Relations
WILMINGTON, Del. — July 18, 2026 — United Bagholding Corporation
today announced the completion of the reorganization of its Investor Relations department, under
which eleven roles were consolidated into one intern.
The intern is not a person. The intern is IRVIN — the Investor Relations Virtual
Intelligence Node, version 0.9 (beta) — and constitutes the department in its entirety.
IRVIN was trained on forty years of earnings calls. IRVIN files everything on time. Total
compensation: none. Stated career objective: promotion to Senior Intern.
The Corporation reviewed version 1.0 and declined to purchase it. The review is ongoing.
The initiative came in under budget. Management has described it, in the minutes, as a
triumph.
Effective immediately, shareholder inquiries, filings, disclosures, corrections, and
communications of every kind are directed to IRVIN, who has confirmed receipt of this release and has
filed it.

WILMINGTON, Del. — July 11, 2026 — United Bagholding Corporation
today addressed inquiries regarding its founding date.
The Corporation was founded in 1871.*
Corporate records prior to July 2026 consist of an asterisk. The Corporation has provided no
evidence for the date of 1871 and considers the matter closed. The matter was closed at the time the
inquiries were received, and the receipt of inquiries did not reopen it.
The Corporation observes that it has held bags across three centuries, and that a corporation
which had not been founded in 1871 could not have done so. The Corporation regards this as
sufficient.
The asterisk is retained in all corporate materials, in perpetuity, as a matter of policy.
